On the afternoon of September 23, 2008, Shanghai Zizhu Science-based Industrial Park Development Co., Ltd held the fifth session of the first board of directors in Shanghai Marriott Hotel Hongqiao. Board directors or authorized representatives, supervisors and senior managers were present at the meeting. Wen Shen, chairman of the board, presided over the meeting.

The session heard, examined and ratified the Statement on Capital Increase in Proportion to Present Holdings and the Statement on Offering Loan Guarantee Proportional to Shareholders’ Equity. Mr. Wenjiang Ding was nominated as the independent director of the company. His nomination will be submitted to shareholders for approval after the meeting.

The increased capital will be used for the construction of Pujiang Forest Peninsula (Phase 1), R&D base (Phase 2), business back-up facilities, Online Games, Cartoon and Animation Hub and Nanjiao Guesthouse.
